1. Acceptance of These Terms
By accessing or using the Services, creating a portal account, joining the interest list, scheduling an appointment, or enrolling in a membership, you agree to these Terms of Use ("Terms"), our Website & Patient Portal Privacy Policy, our E-Signature & Electronic Records Consent, and — if you become a patient — our Notice of Privacy Practices and the clinical consents presented in the portal. If you do not agree, do not use the Services.
If you use the Services on behalf of a minor child or another person for whom you are the legal guardian or authorized representative, "you" includes that person, and you represent that you have authority to agree on their behalf.
2. THE SERVICES ARE NOT FOR EMERGENCIES
IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. This practice does not provide emergency care. The Services — including the portal, forms, scheduling, email, phone, and text — are not monitored continuously and must never be used for urgent or emergency communications. Do not use portal forms or messages to report symptoms requiring immediate attention.
3. The Practice; Direct Primary Care (Not Insurance)
3.1 What Nomad Health is
Nomad Health is a physician-led direct primary care ("DPC") practice based in Miami Beach, Florida. Members pay a flat periodic fee for a defined scope of primary care services, as described in the membership agreement and the current published service descriptions at https://mynomadhealth.com.
3.2 DPC disclaimer (§ 624.27, Fla. Stat.)
A Nomad Health membership is a direct primary care agreement under Section 624.27, Florida Statutes. As required by that statute, you are advised that:
A direct primary care agreement is not health insurance. The direct primary care agreement is not insurance and is not subject to regulation under the Florida Insurance Code. Entering into a direct primary care agreement is not a substitute for maintaining health insurance coverage, and the agreement does not meet any individual health insurance mandate that may be required by federal law. The membership covers only the primary care services specified in the agreement; it does not cover emergency care, hospitalization, specialist care, surgery, imaging beyond the agreement's scope, or prescription drugs (except as expressly included). You remain responsible for obtaining and paying for all services outside the agreement's scope.
The DPC membership agreement itself is a separate written document, signed by both you and the Practice at enrollment, that meets all of § 624.27(4)'s requirements — including that it be in writing, be signed by both parties, allow either party to terminate on written notice, describe the scope of services, fees, and periodicity, and contain the prominent statutory disclaimers. This Terms of Use cross-references that agreement but does not substitute for it.
3.3 Self-pay practice
Nomad Health does not bill or participate in health insurance, Medicare, or Medicaid. Payment is due at the time of service or per your membership agreement. As an uninsured/self-pay patient you have the right under the federal No Surprises Act to a Good Faith Estimate of expected charges; the portal's Financial Policy form documents this.
3.4 No provider–patient relationship from browsing
Using the public website, joining the interest list, or scheduling an intake visit does not by itself create a provider–patient relationship. That relationship is established when the practice accepts you as a patient and a licensed provider undertakes your care.
3.5 Medications dispensed in our office
Your provider may dispense certain medications to you directly in our office as a registered dispensing practitioner under Section 465.0276, Florida Statutes, instead of sending a prescription to an outside pharmacy. You should know that:
- Dispensing is optional and it is your choice. Before any drug is dispensed, you will be given a written prescription and told that it may be filled here or at any pharmacy you choose. You are never required to buy a medication from us.
- We do not dispense controlled substances. The practice dispenses only non-controlled medications.
- Labeling and records. Anything dispensed to you is labeled and recorded as Florida law requires, and the dispensing record is filed in your chart.
- Price. Medication prices are set by Nomad Health, vary by medication, and are disclosed to you before you approve the order (see Section 7).
- Dispensing is limited to what we actually stock and to what your provider judges clinically appropriate; we may decline to dispense and send a prescription instead.
3.6 Laboratory testing
- In our office (point-of-care testing). Certain rapid tests are performed by our own staff during your visit, on equipment in the office. There is no outside laboratory, no requisition, and no specimen leaves the practice; the result is entered into your chart the same day.
- Sent to an outside laboratory. For tests we do not run in the office, your provider orders them through a partner laboratory — currently Finlay Clinical Laboratories and/or Quest Diagnostics, as the practice directs for the test ordered. We give you a printed or PDF requisition to present at that laboratory's patient service center, which collects your specimen and performs the test. There is no electronic lab interface: the requisition you carry, and the result document our staff files into your chart, are the only ways your information moves.
- Results. Results are reviewed by your provider and filed into your medical record; your provider — not the laboratory or this website — interprets them for you. A result is not a diagnosis, and no result should be acted on without your provider.
- Price. Lab prices are set by Nomad Health, vary by test, and are disclosed to you before you approve the order (see Section 7).
4. Telehealth
4.1 Telehealth services
Nomad Health provides certain services by telehealth (live video, audio, and/or store-and-forward technology) in accordance with Section 456.47, Florida Statutes. Telehealth services are provided by Florida-licensed (or Florida telehealth-registered, if ever applicable to an out-of-state provider) practitioners acting within their standard of care.
4.2 Telehealth consent
Before receiving telehealth services you will be asked to sign the Consent to Treat & Telehealth Consent form in the portal, which describes: what telehealth is; its risks and limitations (technical interruption or failure, and limits on remote physical examination); that your provider may determine your condition requires in-person evaluation and refer you accordingly; that the same confidentiality protections apply as in-person; and that you may withdraw telehealth consent at any time without affecting your right to future care.
4.3 Prescribing limits
Providers prescribe only where clinically appropriate and lawful. Telehealth prescribing of controlled substances is restricted by Florida law (§ 456.47(2)(c), Fla. Stat.) and federal law, and the practice complies with those restrictions.
4.4 Location
Telehealth services are offered to patients located in Florida. If you are outside Florida at the time of a telehealth visit, tell your provider; we may be unable to treat you.
4.5 Video visits through the patient portal
Video visits run inside our own patient portal — there is no separate app to install and no third-party meeting service to join. When it is time for your visit you sign in to the portal and choose Join telemedicine call, which places you in a waiting room until your provider admits you.
- How the connection works. Once you are admitted, your device and your provider's device connect to each other directly wherever the network allows, using WebRTC, which encrypts audio and video in transit as a mandatory property of the technology. Where a direct connection cannot be made (some mobile and home networks), the encrypted stream is relayed through a server operated by the practice's software provider rather than by an outside video company.
- Nothing is recorded. Video visits are not recorded, and no audio or video is stored by us or by anyone else. Only the ordinary facts of the visit — that a call took place, when, and with whom — are logged, together with the clinical note your provider writes. Do not attempt to record a visit without your provider's agreement; Florida is an all-party-consent state (§ 934.03, Fla. Stat.).
- What you need. A reasonably current browser, a working camera and microphone, permission granted to the browser to use them, and a stable internet connection. We cannot control your device, network, or surroundings; please join from a private place.
- If the technology fails. Video visits depend on networks that sometimes fail. If the connection cannot be established or drops and cannot be restored, your provider will continue or complete the visit by telephone, or the visit will be rescheduled at no additional charge. A failed connection is not a reason to delay care — if your problem is urgent, follow Section 2.
- Availability is a clinical judgment. Whether a given concern can be handled by video is decided by your provider. Your provider may end a video visit and require an in-person or home visit at any point, and this is not a denial of care.
- This does not change our other duties. Section 4.2's telehealth consent, the confidentiality protections described in the Notice of Privacy Practices, and the prescribing limits in Section 4.3 apply to video visits exactly as they apply to any other telehealth encounter.
5. Accounts and Credentials
- Portal credentials are issued per patient; your sign-in name is your on-file email address. Your initial password is generated by the system and shown to you exactly once — store it securely.
- You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at info@mynomadhealth.com of any suspected unauthorized use.
- Do not share your account. Each patient has their own record and their own account; the portal does not currently support proxy or family sub-accounts.
- We may suspend or terminate portal access for security reasons, abuse, or termination of the care relationship, subject to your rights to your medical records under the NPP and Florida law.
- Accurate information: you agree that the registration and intake information you provide is truthful, accurate, and current, and that you will keep it updated. Clinical care depends on it.
6. Scheduling and Appointments
- Online intake-appointment slots are offered subject to real-time provider availability and may change until booked. Appointment durations vary by membership type.
- In the rare case of a booking conflict (for example, two people selecting the same slot at nearly the same moment), your enrollment is preserved and a representative will contact you to confirm your appointment time.
- Home visits are available within our Miami Beach–area service area and are subject to provider availability. Where and whether an in-home dispatch occurs is decided by the provider at their clinical discretion.
- Follow-up visits are provided as described in the current published membership terms — related to an existing concern, at your provider's clinical discretion.
- Cancellation, rescheduling, and missed visits: please give us at least 24 hours' notice to cancel or reschedule an appointment. Your first missed visit or late cancellation is treated as a courtesy — we will simply remind you of this policy. Repeated missed visits or late cancellations are subject to a $50 fee per occurrence.
7. Fees, Billing, and Payments
- Current membership tiers, visit fees, and service prices are those published at https://mynomadhealth.com at the time of purchase and in your membership agreement. Lab and medication prices are set by Nomad Health, may vary by test or medication, and are disclosed to you before you approve any order.
- Payments are processed by Helcim through Helcim's own secure payment form embedded on our page; we do not receive or store your card number. Recurring membership fees are billed on the cycle stated at checkout.
- Memberships are month-to-month with no long-term contract. You may cancel at any time by contacting our office at info@mynomadhealth.com. Your membership and billing continue through the end of the current paid month, and no further charges are made after that. We do not prorate or refund partial months: the current (paid) month is non-refundable, and cancellation stops future billing only.
- Invoices, corrections, and refunds. Charges for visits, labs, and dispensed medications are itemized on an invoice filed in your chart, which you can see in the portal. Payment records are kept as an append-only history: if we record a payment in error we mark the invoice unpaid rather than erasing it, and if we refund you we record the refund against the invoice — so an invoice you can see may show that it was paid and later refunded in whole or in part. Refunds, when we make them, are returned by the same method you paid. Nothing in this bullet creates a right to a refund beyond what these Terms, your membership agreement, and applicable law provide; the membership-cancellation rule in the bullet above is unchanged.
- Non-payment may result in suspension or termination of membership after notice, subject to the membership agreement and applicable patient-abandonment rules.
8. Electronic Signatures and Records
The Services use electronic records and drawn electronic signatures (you sign with a mouse, finger, or stylus) for intake forms, consents, authorizations, and clinical documents. By using them you agree to the standalone E-Signature & Electronic Records Consent, which is incorporated into these Terms and covers: the legal effect of your drawn signature under the federal ESIGN Act (15 U.S.C. § 7001 et seq.) and Florida's Uniform Electronic Transaction Act (Chapter 668, Part I, Fla. Stat.); your right to paper copies; how to withdraw consent to electronic records; and the hardware/software you need. A drawn electronic signature captured through the Services is legally binding to the same extent as a handwritten signature. Provider notes are also signed electronically within the EHR.
9. Acceptable Use
You agree not to:
- Use the Services for emergencies (Section 2);
- Access or attempt to access another person's records or account, or probe, scan, or test the vulnerability of the Services (automated abuse controls, a web application firewall, and rate limits are in force; unauthorized access attempts may be logged and reported);
- Submit false, misleading, or fraudulent information, or impersonate another person;
- Upload malicious code or files, or interfere with the operation of the Services;
- Scrape, harvest, or bulk-download content or data;
- Use bots or automation to book appointments, submit forms, or join the interest list (bot-mitigation measures are in place);
- Reverse engineer, copy, or create derivative works of the software except as law permits notwithstanding this limitation;
- Use the Services in violation of any applicable law.
We may suspend or block access, remove content, and pursue remedies for violations.
10. Intellectual Property
The software platform underlying the Services — SanaLogs Chart Pro — and its design, code, interfaces, and branding are owned by Brickell Bay Group LLC and/or its licensors and are protected by copyright and other intellectual-property laws. Nomad Health's name, logo, and content are owned by Nomad Health. The platform incorporates open-source components (including OpenEMR) used under their respective licenses. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial purpose of receiving care and managing your membership. No other rights are granted. Your medical records are yours to access as provided by law and the NPP — nothing in this section limits your rights to your own health information.
11. Third-Party Services and Links
The Services link to or rely on third parties described in the Privacy Policy — Helcim's embedded payment form; the patient service centers of the laboratories we use (Finlay Clinical Laboratories, Quest Diagnostics); and public health-information sources published by the U.S. government, principally MedlinePlus (National Library of Medicine), whose patient-education material we reproduce with attribution and link to in a new tab. Third-party sites and services have their own terms and privacy policies; we are not responsible for them. Health information reproduced from a public source is general education and is not a substitute for your provider's advice about you.
Video visits (Section 4.5) do not use a third-party video or meeting service; see the Privacy Policy for how that connection is made.
12. Disclaimers of Warranty
EXCEPT AS EXPRESSLY STATED AND EXCEPT WHERE PROHIBITED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NOMAD HEALTH AND ITS SOFTWARE PROVIDER DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE WEBSITE, PORTAL, OR SCHEDULING WILL BE AVAILABLE AT ANY PARTICULAR TIME OR FREE OF DEFECTS.
THIS SECTION APPLIES TO THE ONLINE SERVICES AND DOES NOT DISCLAIM, LIMIT, OR MODIFY ANY DUTY OF CARE OWED BY A LICENSED PROVIDER IN THE PROVISION OF MEDICAL CARE, AND NOTHING IN THESE TERMS WAIVES ANY NON-WAIVABLE PATIENT RIGHT UNDER FLORIDA LAW.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER NOMAD HEALTH NOR ITS SOFTWARE PROVIDER WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF (OR INABILITY TO USE) THE ONLINE SERVICES, OR FOR LOSS OF DATA CAUSED BY EVENTS BEYOND OUR REASONABLE CONTROL; AND OUR AGGREGATE LIABILITY ARISING OUT OF THE ONLINE SERVICES (AS DISTINCT FROM MEDICAL CARE) WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO NOMAD HEALTH IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THIS SECTION DOES NOT LIMIT LIABILITY FOR MEDICAL NEGLIGENCE OR ANY LIABILITY THAT CANNOT LAWFULLY BE LIMITED, AND DOES NOT APPLY TO CLAIMS ARISING FROM THE PROVISION OF MEDICAL CARE ITSELF.
14. Indemnity
You agree to indemnify and hold harmless Nomad Health, its members, officers, employees, contractors, and its software provider from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or content or information you submit — excluding any claim arising from our own negligence, willful misconduct, or provision of medical care.
15. Dispute Resolution; Governing Law
- These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules.
- Venue for disputes arising from these Terms (as distinct from any claim relating to medical care, which is governed by Florida's medical-malpractice statutes including their presuit requirements) lies in the state or federal courts located in Miami-Dade County, Florida, and the parties consent to personal jurisdiction there.
- Binding arbitration; class-action waiver. Except for claims relating to medical care (which are governed by Florida's medical-malpractice statutes, including their presuit requirements, and are expressly excluded from this provision), any dispute arising out of or relating to these Terms or the online Services will be resolved by final and binding arbitration seated in Florida, administered under the rules of a recognized arbitration provider, rather than in court, and each party waives any right to bring or participate in a class, collective, or representative action. Either party may still bring a qualifying claim in small-claims court, and either party may seek injunctive relief to protect intellectual property or data security. This provision does not waive or limit any non-waivable statutory right.
- Nothing in these Terms shortens or waives any right or notice period patients have under Chapter 766, Florida Statutes, or other law.
16. Changes to the Services and These Terms
We may modify the Services and these Terms. Material changes will be posted at https://mynomadhealth.com/terms with a new effective date, and for material changes affecting members we will provide notice by email or through the portal at least 30 days before they take effect. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Services and, for membership terms, exercise your cancellation right (Section 7). Changes to the DPC membership agreement itself are governed by that agreement and § 624.27, Fla. Stat.
17. Termination
You may stop using the Services at any time and may cancel your membership per Section 7. We may terminate or suspend portal access as described in Section 5. Termination of the care relationship by the practice will comply with Florida patient-abandonment and notice requirements and with the termination terms of the DPC membership agreement (§ 624.27(4)(b), Fla. Stat.). Sections that by their nature survive (IP, disclaimers, limitations, indemnity, dispute resolution) survive termination. Your rights to obtain your medical records survive per the NPP and Florida law.
18. Miscellaneous
- Entire agreement (online services): these Terms plus the documents they incorporate (Privacy Policy, E-Signature Consent, NPP, and — for members — the DPC membership agreement and clinical consents) are the entire agreement about the online Services. If these Terms conflict with the signed DPC membership agreement or a signed clinical consent, the signed document controls as to its subject.
- Severability: if a provision is unenforceable, the remainder stands.
- No waiver: failure to enforce is not a waiver.
- Assignment: you may not assign these Terms; we may assign to a successor of the practice subject to law.
